These are the Terms of Use for odesk.me. By visiting or using our website, you agree to these terms. If you do not agree, please do not use the Site. We know legal documents can be dense — so we've written this one to be as clear and honest as possible.
1. Who We Are and What This Is
oDesk Software Co., Ltd is an IT outsourcing company based in Ho Chi Minh City, Vietnam. We build software products, websites, and digital systems for partners, businesses, and startups around the world.
This Site — odesk.me — is where prospective clients learn about what we do and get in touch with us. These Terms govern your use of the Site. They don't cover the specifics of any project engagement; those are handled in your individual service contract.
You must be at least 18 years old to enter into a contract with us. By submitting a contact form or initiating a business engagement, you confirm that you have the authority to do so — whether for yourself or on behalf of your organization.
2. Using the Site
We built this Site to give you a clear picture of who we are and what we can do together. We ask that you use it for that purpose.
You agree not to:
- Interfere with or disrupt the Site or the servers and networks that support it
- Attempt to gain unauthorized access to any part of our systems
- Use bots, scrapers, or automated tools to extract data from the Site without our written consent
- Transmit harmful code, spam, or anything that could damage our infrastructure or the experience of other visitors
- Impersonate oDesk Software Co., Ltd or misrepresent your affiliation with us
- Use the Site in any way that violates applicable laws or regulations
Unauthorized use is prohibited. We reserve the right to restrict or terminate access for anyone who violates these terms.
3. What Belongs to Us
Everything you see on this Site — the text, design, logos, images, code, and structure — belongs to oDesk Software Co., Ltd or our content licensors, and is protected by intellectual property law.
We give you permission to browse and read the Site for personal, non-commercial informational purposes. That's about it. You may not copy, reproduce, redistribute, or build derivative works from our content without prior written permission. You may not use our trademarks or logos without asking first.
If you think someone has copied our content without permission — or if you believe we've done that to you — reach out and we'll sort it out.
4. Privacy and Your Data
We take privacy seriously. When you contact us through the Site, you share your name, email, phone number, and company name with us. We use that information to respond to your inquiry and manage our business relationship — nothing more. We do not sell it, publish it, or pass it to third parties for marketing purposes.

If you're in the EEA or UK: You have rights under GDPR — including the right to access, correct, or delete your data. Contact us at info@odesk.me and we'll respond within 30 days.
If you're in California: You have rights under CCPA, including the right to know what we collect and the right to request deletion. We do not sell your personal information. Reach out at info@odesk.me.
5. Payment Terms
For every project, we work on a simple two-stage payment structure:
- 50% upfront before work begins — this covers planning, design, and initial development
- 50% on delivery — due when the project is completed and handed over, as defined in your contract
Every payment comes with an official receipt. We keep accurate billing records for all client transactions.
For any work that falls outside the original contract scope, we will discuss it with you first. Extra work is agreed in writing and billed as a single payment after it is completed — we do not add charges without your approval.
6. Warranty and Support
We stand behind what we build. Every product or website we deliver comes with a 1-month warranty starting from the handover date.
During that period, if something breaks because of our code or our implementation, we fix it at no charge. This covers bugs, errors, and functionality that doesn't work as specified in the original project requirements.
The warranty does not cover:
- Changes made to the codebase by you or a third party after handover
- Issues caused by external services, plugins, or APIs we do not control
- New feature requests or scope changes
- Problems caused by your hosting environment (with the exception below)
On hosting: For projects where we provide hosting as part of the package, we include 12 months of free hosting from handover. During that year, any hosting issue on our end gets resolved at no charge. After 12 months, if you've moved to a third-party host, issues with that external environment are outside our responsibility.
Response time: We commit to responding to any warranty support request within 24 hours of receiving it, excluding public holidays. All support is handled by email or agreed chat tools.
7. Modifications and Continuity
We are always improving — which means things change. We may add or remove features on the Site, update content, or suspend the Site at any time without prior notice.
For active client engagements, any modifications to the scope, timeline, or deliverables are governed by your individual contract. If we ever need to discontinue a service that affects your project, we will give you reasonable advance notice and work with you on a transition plan.
You can stop using the Site at any time. To end an active engagement, refer to the termination provisions in your contract.
8. Liability
We provide the Site as-is. We do our best to keep it accurate and available, but we cannot make guarantees. We are not liable for damages arising from your use of the Site — including errors in content, interruptions in availability, or unauthorized access to data you transmit through it.
To the extent permitted by law, our total liability for any claim related to your use of the Site is capped at VND 2,000,000 (approximately USD 80), or the amount you paid us in the 12 months before the claim — whichever is greater. We are not liable for indirect, consequential, or punitive damages.
Nothing here limits our liability for death or personal injury caused by our negligence, or for fraud.
Force majeure: We are not liable for failures caused by events beyond our reasonable control — natural disasters, government actions, pandemics, power outages, or internet disruptions.
9. Governing Law
These Terms are governed by the laws of the Socialist Republic of Vietnam. If we have a dispute, we will first try to resolve it through good-faith conversation — please reach out and give us 30 days to work it out informally before taking formal action. If that doesn't resolve things, any legal proceedings will be handled by the competent courts in Ho Chi Minh City, Vietnam.
10. The Small Print
A few standard provisions that keep things clean:
- Entire Agreement: These Terms and our Privacy Policy are the complete agreement between you and oDesk Software Co., Ltd regarding your use of the Site.
- Severability: If a court finds any part of these Terms unenforceable, the rest remains in full force.
- No Waiver: If we don't enforce a particular term at a given moment, that doesn't mean we've waived the right to enforce it later.
- No Agency: Using the Site does not create a partnership, employment relationship, or agency between you and us.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we'll update the "Last Updated" date at the top. For material changes, we'll make it visible. Your continued use of the Site after changes are posted means you accept the updated Terms.
